According to the previous laws, a single person could not incorporate a company. But now, according to Section 2(62) of the Company’s Act 2013, a company can be formed with just one director and one member.

Step 1: Apply for Digital Signature Certificate (DSC)
The first step includes Digital signature certificate of the director. For that, the following documents are required:
- Address proof
- Aadhar card
- PAN card
- E-mail ID
- Phone number
Step 2: Apply for Director identification Number (DIN)
Next step is to Apply for the director identification number of the director in the SPICe form along with the name and the address proof of the director.
Step 3: Name approval application
The next step includes deciding a name for the company. The name of the company should be in the form of “ ABC (OPC) private limited”
Up to six name options can be submitted to the MCA and the name of the OPC must end or include the words OPC.
Step 4: Documents Required
After the approval of the name, there are certain documents which are required to be submitted to the ROC. Those documents are:
- The memorandum of association
- The Articles of the association
- Proof of the registered office of the proposed company along with the proof of the ownership and a NOC from the owner
- A nominee has to be adopted.
Step 5: Filing of forms with MCA
All the above mentioned documents must be attached to the SPICe form, SPICe-MOA, SPICe-AOA along with the DSC of the director and uploaded to MCA site for approval.
Step 6: Issuance of the incorporation certificate
After all the verification, the registrar of companies (ROC) will issue a Certificate of Incorporation.
